In-House Counsel- Ferrovial Energy US

The In-House Counsel will provide comprehensive legal support for utility-scale renewable energy projects in the U.S., including contract negotiation and compliance with regulatory matters.
Responsibilities
Provide end-to-end legal support throughout the lifecycle of projects, from greenfield development and procurement through construction, financial close, and operations
Advise on and participate in M&A transactions, including due diligence processes, and negotiation of purchase and sale agreements for ready-to-build or early-stage projects
Draft and negotiate a wide range of renewable energy project contracts (such as Power Purchase, EPC, O&M, Asset Management, Supply and Interconnection Agreements), as well as site control and real estate agreements
Draft and negotiate project financing documents, including credit agreements for construction-to-term loans, tax equity and tax credit transfer bridge loans, letter of credit facilities, and security documents (e.g., security agreements, pledge agreements, account control agreements, direct agreements, etc.). Collaborate with lenders and their advisors on bankability analyses and project due diligence
Draft and negotiate agreements for tax credit monetization structures, including Equity Capital Contribution Agreements, LLC Agreements, and Purchase and Sale Agreements for traditional tax equity partnership flip structures, as well as Tax Credit Transfer Agreements. Maintain familiarity with IRS guidance and tax regulations regarding renewable energy tax credits
Provide legal support day-to-day asset portfolio management
Handle corporate and filing matters
Ensure compliance with regulatory matters and Ferrovial’s internal policies
Manage relationship with external legal advisers
Qualification
Required
Juris Doctorate
Member in good standing of a US State Bar (internal candidates excluded)
Minimum 5+ years of experience in the renewable or conventional energy industry, gained at a top tier law firm and/or legal department of a renewable energy company or independent power producer
Effectively manage tasks and deadlines independently
Ability to interact with colleagues in a team
Excellent interpersonal written and verbal communication, decision-making, project management and negotiating skills
Computer proficiency in Word, Outlook, Excel, and Power Point
Preferred
Real estate and insurance matters in connection with the development of greenfield projects; and/or permitting, interconnection, trade law, energy law and energy-related tax incentives
