Associate Corporate Counsel | Technology

Responsibilities

Independently draft, review and redline, and negotiate commercial contracts, including sales orders, customer agreements, vendor agreements, and partnership agreements
Engage in cross-functional collaboration and decision-making across all departments, like Human Resources, Operations, Sales, Product, and Finance
Ensure compliance with internal corporate policies and applicable law
Develop hands-on working relationships with business partners at all levels, and across various teams of the company to achieve best synergies
Act as trusted legal advisor to internal stakeholders with respect to variety of transactions
Special projects and other duties, as assigned
Maintain current knowledge of alterations in legislation and regulatory requirements

Required

Experience managing a large number and variety of mission-critical projects
Experience working independently and navigating ambiguous environments
Ability to work extended hours when necessary
Strong written and oral communication skills, ability to communicate legal and possible risks clearly and succinctly to senior management and stakeholders
Experience working with paralegals, assistants, and business clients cooperatively and efficiently
Creative problem solver
Demonstrated ability to handle highly confidential information appropriately

Preferred

Law degree from an accredited law school and membership in good standing with at least one state bar
5+ years experience drafting, reviewing, and negotiating technology transactions, integration and data sharing agreements, and technology partnership agreements
2+ years of specialized/industry experience in-house legal department or law firm
