Responsibilities
Run venture financings: Structure and negotiate equity rounds, SAFEs, convertible notes, and PE investments
Support and execute M&A: Manage diligence, term sheets, and closing for acquisitions, joint ventures, and cross-border transactions
Build funds and vehicles: Draft partnership agreements, SPVs, and governance documentation for private credit funds and investors
Advise on lending and credit: Draft and review asset-backed lending and credit facilities for lenders and borrowers in emerging industries
Be a strategic partner to clients: Counsel founders and investors on cap tables, securities compliance, and growth/exit planning
Qualification
Required
Experience in venture financing, private equity, and M&A
Ability to structure and negotiate equity rounds, SAFEs, convertible notes, and PE investments
Experience managing diligence, term sheets, and closing for acquisitions, joint ventures, and cross-border transactions
Ability to draft partnership agreements, SPVs, and governance documentation for private credit funds and investors
Experience drafting and reviewing asset-backed lending and credit facilities for lenders and borrowers
Strong understanding of cap tables, securities compliance, and growth/exit planning
