Miller Johnson is seeking an Entry-Level Associate to join their Corporate, Mergers & Acquisitions Practice Group in Chicago. The role involves working on sophisticated transactions, taking on meaningful responsibilities, and growing within a collaborative team.

Responsibilities

Draft and review transaction documents, including NDAs, LOIs, purchase agreements, and ancillary agreements

Assist with due diligence, including review of contracts, governance documents, and financial materials

Help manage deal timelines, closing checklists, and communication among internal and external teams

Draft and revise corporate governance documents (operating agreements, bylaws, shareholder agreements, resolutions)

Support entity formation, restructurings, and ongoing corporate maintenance

Collaborate directly with clients to gather information, ensure compliance, and deliver practical, business-focused solutions

Work seamlessly with attorneys across practice groups (i.e., Tax, Employment, Real Estate, Litigation) to support clients’ multifaceted needs

Demonstrate professionalism, clear communication, initiative, integrity, and a commitment to excellence consistent with firm values

Required

J.D. from an accredited law school (current 3Ls, recent graduates, or early-career attorneys encouraged to apply)

Strong communication skills and exceptional attention to detail

Ability to manage multiple projects, stay organized, and meet deadlines in a fast-paced environment

Collaborative mindset and eagerness to grow within a supportive team

Licensed (or eligible for licensure) to practice law in Michigan
