Responsibilities
Draft and negotiate a wide range of copyright-driven agreements, including content licenses, software and SaaS agreements, distribution and streaming deals, work-made-for-hire, and assignment agreements
Advise on copyright ownership, joint authorship, and chain-of-title issues
Conduct copyright clearance and fair-use analyses
Counsel clients on evolving copyright and AI regulatory guidance
Draft and negotiate AI training data licenses (text, image, audio, video, and proprietary datasets)
Advise clients on ownership, use, and commercialization of AI-generated outputs
Structure agreements addressing training restrictions, derivative works, and downstream licensing
Negotiate AI SaaS, API, and platform agreements, including IP representations, warranties, and indemnities
Advise on open-source software compliance and third-party content risk
Assist with IP due diligence in M&A, financing, and strategic transactions
Qualification
Required
5+ years of experience handling commercial contract drafting and negotiation that include copyright provisions, IP licensing, tech transactions, and/or music and entertainment deals
Experience advising on AI-related IP issues or a demonstrated interest in AI and emerging technologies
Ability to explain complex legal concepts clearly to business and technical stakeholders
Active license to practice law
