Responsibilities

Manage entity formation and setup for emerging companies

Oversee equity and debt financings, including structuring and negotiation

Draft and negotiate commercial contracts

Provide counsel on corporate governance and compliance matters

Advise on employment law and equity compensation strategies

Manage capitalization tables and related documentation

Handle mergers and acquisitions (M&A) transactions

Serve as “outside general counsel” to clients

Address other general corporate legal matters as needed

Collaborate closely with the Managing Partner to deliver client-focused solutions

Stay informed on developments in Web3 and blockchain technologies

Required

Juris Doctor (J.D.) degree with strong academic credentials

2–8 years of experience at a law firm with an Emerging Companies & Venture Capital (ECVC) or similar practice group, or in-house experience with a technology company

Excellent project management, analytical, and communication skills, both oral and written

Proven ability to work independently while staying connected in a remote work environment, especially if located separately from other team members
