Counsel, Securities & Corporate Governance
Larson Maddox is seeking an attorney with securities and corporate governance experience to join their growing legal department. This role involves leading SEC filings, overseeing compliance processes, and partnering with executive leadership to ensure organizational compliance.
Responsibilities
Lead SEC filings (10-K, 10-Q, 8-K, proxy statements, Section 16)
Oversee disclosure processes and compliance with Reg FD, insider trading policies, and NYSE standards
Partner with Finance, Investor Relations, and Communications on compliance matters
Coordinate board, committee, and shareholder meetings, including agendas, minutes, and follow-up actions
Maintain corporate records and ensure compliance with legal and regulatory requirements
Advise on governance best practices and manage board operations (calendars, resolutions, logistics)
Manage domestic and international subsidiaries, filings, and records
Coordinate with outside counsel on global governance requirements
Provide legal support for M&A, financing, and other corporate transactions
Qualification
Required
J.D. and Illinois license (or eligible for in-house registration)
Must have 2+ years of experience in securities and corporate governance law
Expertise in SEC regulations, Sarbanes-Oxley, and NYSE rules
Strong leadership and communication skills
