Corporate Counsel - Regulatory & Commercial Transactions

The Boston Beer Company is seeking an experienced attorney to join their Legal Team as a Corporate Counsel focusing on Regulatory and Commercial Transactions. The role involves providing support in regulatory compliance, managing commercial contracts, and offering legal guidance on product development and production compliance.

Responsibilities

Draft, review, and negotiate a wide variety of agreements, with an emphasis in the areas of distribution, marketing, sponsorships, and promotions
Manage company’s compliance with applicable Federal and State laws and regulations relating to development and production of alcoholic beverages, including but not limited to legal guidance, liaising with government officials, monitoring compliance and changes in laws, oversight and management of governmental approvals and licenses, risk analysis and managing outside counsel
Manage and oversee trade practice compliance with industry laws, regulations, and guidelines, including but not limited to providing legal guidance, overseeing the review and approval of marketing materials, sweepstakes, coupons, marketing programs, and reviewing press releases
Provide general legal advice to company employees and senior management on commercial and contractual risk assessment and mitigation strategies
Provide legal training, conduct legal research, and assist with special projects/litigation as needed. Research and advise on franchise and other laws related to new product launches, transfers of brand rights, and territory assignments

Required

JD degree from an ABA-accredited law school
Active membership in good standing with at least one state bar
Minimum 7 years of experience with a law firm and/or in-house, negotiating and drafting business agreements
Demonstrated problem-solving skills with the ability to lead transactions and resolve complex issues effectively
Excellent verbal, written, and interpersonal communication skills
Ability to manage competing priorities in a fast-paced, complex environment
Proficiency with Microsoft Office Suite and collaboration tools

Preferred

Knowledge of alcohol beverages industry
Experience/Knowledge/Genuine interest to learn: Wholesaler and distribution agreements
Experience/Knowledge/Genuine interest to learn: Data privacy and security
Experience/Knowledge/Genuine interest to learn: FDA
Experience/Knowledge/Genuine interest to learn: Risk Management/Insurance
