Contracts Strategist

Nominal is hiring for a Contracts Strategist focused on contracts with the U.S. Government and large commercial industrials during a critical growth phase for the company. Responsibilities

Own end-to-end structuring and execution of complex USG and commercial deals, including early engagement on contract structure, pricing mechanics, and acquisition approach
Translate commercial SaaS pricing and licensing models into government-aligned structures, and clearly articulate to USG acquisition personnel why traditional cost-based approaches (e.g., cost-plus constructs) may be inappropriate for a commercial product context
Proactively generate contracting strategies across OTAs, CSOs, IDIQs, GSA schedules, multiple-award vehicles, teaming agreements, and value-added resellers
Partner with BD leadership, Finance, and Legal to translate Nominal’s commercial pricing strategy into structures that work within regulated markets, and provide strategic input on how pricing decisions may impact USG contracting outcomes
Lead development of Nominalʼs contracting playbooks, including preferred terms, fallback positions, and negotiation strategies for FAR, DFARS, teaming agreements, subcontracts etc
Ensure repeatability by codifying clause reviews and standard negotiation guidance, reducing reliance on ad hoc expertise
Partner with Legal and BD leadership to establish templates and scalable contracting frameworks
Serve as Nominal’s primary contracting representative in direct, real-time discussions with USG Contracting Officers (KOs) and enterprise procurement teams, including independently leading negotiations on deal structure, pricing mechanics, and commercial reasonableness
Build trusted relationships with acquisition counterparts, ensuring Nominal is positioned for renewals and expansions
Partner with proposal teams to shape white papers, pricing models, and deal structures before formal submissions
Apply FAR/DFARS and other contracting regulations with sound commercial judgment in fast-moving, resource-constrained environments
Lead contracting strategy and execution for prime contractor, reseller, and partner agreements across Nominal’s USG and commercial customer base
Own structuring and negotiation of complex commercial enterprise agreements, including SaaS licensing, data rights, pricing constructs, and risk allocation, ensuring consistency with Nominal’s broader contracting posture and long-term USG strategy
Design and negotiate compliant contracting paths for USG transactions that involve intermediated structures, third-party vehicles, or prime-sub arrangements, ensuring commercial terms and pricing remain viable within evolving regulatory and policy constraints
Structure and negotiate teaming agreements, subcontracts, and prime contracts to ensure clear risk allocation, pricing mechanics, and regulatory compliance in joint USG pursuits

Required

7 to 10+ years of experience spanning federal contracting, acquisitions, deal strategy, or high-stakes commercial negotiations
Direct experience as a KO or comparable USG acquisitions lead strongly preferred
Prior experience at a commercial defense-tech or SaaS company strongly preferred
Active or eligible for a U.S. security clearance (TS/SCI a plus depending on program needs)
Deep knowledge of FAR, DFARS, OTAs, GSA, IDIQs, subcontracting under large primes, and related procurement mechanisms
Proven ability to translate SaaS pricing models into government-compliant strategies
