Responsibilities
Prepare and file corporate documents (UCC Financing Statements, entity formations, bylaws, agreements, and annual reports)
Support attorneys in healthcare M&A, joint ventures, and corporate restructurings while ensuring compliance with healthcare regulations
Conduct due diligence for corporate transactions, including business licensing, Medicare/Medicaid enrollment, and regulatory compliance
Assist with state licensing, regulatory filings, and applications (DOH, CMS, and professional boards)
Organize corporate records, draft and review contracts, and manage data rooms for healthcare transactions
Conduct research on HIPAA, Stark Law, Anti-Kickback Statute, and other healthcare compliance matters
Provide administrative and transactional support, ensuring timely processing of legal documents
Qualification
Required
Bachelor's degree or Paralegal certificate from an accredited program
5+ years of corporate paralegal experience in a law firm or legal setting, with a focus on healthcare transactions and regulatory compliance
Proficiency in MS Word, Excel, Adobe (Kofax), and document management systems
Strong organizational skills, attention to detail, and ability to manage multiple deadlines
Excellent written and verbal communication skills with a professional approach to confidential information
Preferred
Knowledge of healthcare laws and regulations (HIPAA, Stark Law, Anti-Kickback, Medicare/Medicaid) is a plus
