Corporate Healthcare Paralegal
Whitman Advisory Job Community is a growing Healthcare Practice Group seeking an experienced Corporate Healthcare Paralegal to join its Roseland, NJ office. The role involves supporting complex healthcare and corporate transactions, including preparing corporate documents and conducting due diligence related to healthcare transactions.
Responsibilities
Prepare and file corporate documents (UCCs, formation documents, bylaws, operating agreements, annual reports)
Support healthcare M&A, joint ventures, restructurings, and dissolutions
Conduct due diligence related to healthcare transactions and regulatory compliance
Assist with healthcare entity formations, licensing, and regulatory filings (DOH, CMS, state boards)
Maintain corporate records, minute books, and governance documents
Prepare and review healthcare-related contracts and agreements
Manage data rooms and assist with transaction closings
Conduct research related to HIPAA, Stark Law, Anti-Kickback Statute, and Medicare/Medicaid
Qualification
Required
Bachelor's degree or Paralegal certificate from an accredited program
5+ years of experience as a Corporate Paralegal, preferably with healthcare and M&A exposure
Strong knowledge of corporate entities, contracts, and regulatory filings
Proficiency in MS Word, Excel, Adobe/Kofax, and document management systems
Excellent organizational, communication, and multitasking skills
High level of professionalism and discretion
