Responsibilities
Execute and manage complex M&A transactions from inception through closing
Draft and negotiate principal transaction documents, including purchase agreements and related ancillary agreements
Conduct legal research and analysis to support transactional strategy
Advise clients throughout the deal process and maintain strong client relationships
Collaborate closely with partners, associates, and cross-functional teams
Support negotiations, closings, and other high-level transactional matters
Stay current on legal developments impacting corporate and M&A work
Contribute to firm initiatives, professional development, and pro bono efforts
Qualification
Required
JD from an accredited law school with strong academic credentials
Admitted to practice in California
4–6 years of M&A experience, including work for private and public companies
Excellent drafting, analytical, organizational, and communication skills
Strong business judgment and ability to manage competing priorities in a fast-paced environment
Preferred
Prior experience at an AmLaw 100 firm strongly preferred
Experience with cross-border transactions or global corporate restructurings is a plus
