Responsibilities

You will work directly with firm leadership on a steady flow of M&A matters, including asset and stock acquisitions, divestitures, and reorganizations
You will run transactions end to end, taking responsibility for structuring, diligence, drafting and negotiating definitive and ancillary documents, managing timelines and workstreams, and overseeing deals through signing and closing
The practice also includes general corporate work such as operating and shareholder agreements, joint ventures, commercial contracts, and ongoing governance and lifecycle counseling
The work is business focused and requires efficiency, judgment, and the ability to manage multiple active matters with minimal supervision
This role is best suited for an associate who wants direct responsibility, consistent client contact, and the opportunity to develop as a trusted business advisor within a professional, entrepreneurial environment

Required

Six to eight years of experience in a midsized or high volume boutique corporate practice
Experience handling complex transactions for closely held operating businesses
Meaningful responsibility across the deal lifecycle

Experience managing timelines and workstreams
Experience overseeing deals through signing and closing
Experience with general corporate work such as operating and shareholder agreements, joint ventures, commercial contracts, and ongoing governance and lifecycle counseling
