Drafting and negotiating definitive and ancillary agreements
Managing diligence and workflow
Coordinating closings
Advising clients on corporate and structural issues as transactions progress
Running significant portions of transactions
Supervising junior associates
Serving as a primary point of contact for clients and counterparties
Qualification
Required
5 to 7 years of substantive transactional experience
Experience with venture capital transactions
Experience with securities matters
Experience with joint ventures
Experience with entity structuring (including LLC operating agreements)
Demonstrative experience with commercial contracts
Demonstrative experience with distribution arrangements
Demonstrative experience with franchising
Admission, in good standing, in NY
Ability to draft and negotiate definitive and ancillary agreements
Ability to manage diligence and workflow
Ability to coordinate closings
Ability to advise clients on corporate and structural issues
Ability to run significant portions of transactions
Ability to supervise junior associates
Ability to serve as a primary point of contact for clients and counterparties
Ability to exercise sound judgment
