Responsibilities
Handle mergers and acquisitions transactions, including asset purchases, stock purchases, and mergers
Advise private equity clients on equity investments, acquisitions, dispositions, and recapitalizations
Assist with joint ventures, strategic alliances, and complex partnership arrangements
Provide guidance on corporate governance matters and ongoing compliance issues
Draft, review, and negotiate definitive and ancillary transaction documents
Support licensing arrangements and commercial agreements connected to M&A activity
Coordinate with internal teams and external advisors to manage transaction timelines
Participate in client meetings and assist with transaction strategy and execution
Qualification
Required
3–5 years of relevant corporate law experience
Strong background in mergers and acquisitions and private equity transactions
Excellent academic credentials from an accredited law school
Admission to and good standing with the New York Bar
Ability to manage multiple transactions simultaneously with attention to detail
Strong judgment, initiative, and client-service orientation
Juris Doctor (JD) degree from an accredited law school
Strong analytical and problem-solving abilities
Excellent drafting, communication, and negotiation skills
Ability to work efficiently in fast-paced deal environments
Collaborative mindset with the ability to work effectively on team-based transactions
Professional demeanor and commitment to high-quality work
Preferred
Familiarity with securities law, technology transactions, and fund formation is a plus
