Responsibilities

Lead private investment fund formations, restructurings, and amendments

Serve as primary advisor to fund sponsors on fund terms, investor negotiations, and regulatory matters

Draft and negotiate placement memoranda, partnership or operating agreements, subscription agreements, and side letters

Advise on complex securities law and regulatory issues impacting private funds and investment advisers

Review and negotiate co-investment arrangements and institutional investor documentation

Supervise and mentor associates and staff

Contribute to business development and client relationship management
