Responsibilities
Assist in the formation of private investment funds, including private equity, hedge funds, and other alternative investment vehicles
Draft and review core fund documents, including private placement memoranda, partnership or operating agreements, subscription agreements, and side letters
Support negotiations with investors and review investor-related documentation, including co-investment materials
Assist with securities law compliance, including exemptions under federal and state securities laws
Conduct legal research on fund-related regulatory issues
Coordinate closings and manage fund launch timelines
Work closely with senior attorneys, clients, and fund administrators
Qualification
Required
JD from an ABA accredited law school
2–3 years of experience in private investment fund formation or investment management, preferably at a large law firm or in-house
Foundational understanding of fund structures, key fund terms, and securities regulations
Strong drafting, analytical, and organizational skills
Ability to work efficiently in a deadline-driven environment
