Mercurius Media Capital (MMC) is the first dedicated U.S. media-for-equity fund, empowering high-potential startups and enterprises through strategic media investments. The Part-Time Legal Assistant will support the Senior Legal Counsel on legal matters involving media-for-equity transactions, focusing on drafting legal documents and conducting legal research.

Responsibilities

Assist the Senior Legal Counsel in drafting, reviewing, and organizing legal documents related to media-for-equity transactions, including investment agreements, term sheets, NDAs, and related contracts

Conduct legal research on corporate law, securities regulations, venture capital transactions, and media-industry legal issues

Support legal due diligence for MMC investments by reviewing documentation and identifying potential legal and compliance issues

Assist with maintaining compliance with applicable laws and regulations, including securities, intellectual property, and media-industry requirements

Prepare internal legal summaries, reports, and presentations

Monitor regulatory and industry developments relevant to media-for-equity and venture capital transactions

Support corporate governance activities, including preparation of resolutions and board-related materials

Maintain organized legal files and documentation

Required

Currently pursuing or recently completed a Juris Doctor (JD) or Master of Laws (LL.M.) from an accredited law school

Strong academic background with coursework in corporate law, securities regulation, venture capital, contract law, or related subjects

Strong legal research and writing skills, with attention to detail

Ability to manage multiple tasks in a deadline-driven environment

Clear written and verbal communication skills

Interest in corporate transactions, venture capital, and media-for-equity structures

Preferred

Prior internship or entry-level experience in a law firm, corporate legal department, or in-house legal team preferred but not required
