Responsibilities
Represent clients in public and private securities offerings (S-1, S-3, S-4 filings)
Counsel public companies on periodic reporting and disclosure under the Exchange Act (10-K, 10-Q, 8-K, proxy statements)
Advise on corporate governance and compliance with SEC and exchange regulations
Work closely with clients and cross-office teams on transactional strategy and execution
Coordinate due diligence and manage deal processes from end to end
Qualification
Required
5–10 years of capital markets experience
JD from an ABA-accredited law school
Admitted to the Florida Bar (or eligible/willing to obtain admission)
Proven experience drafting offering documents and advising on '33 and '34 Act matters
Strong attention to detail and ability to manage multiple complex matters independently
Preferred
5–10 years of relevant capital markets experience, preferably at a major law firm
M&A experience and familiarity with proxy contests or shareholder activism a plus
