Senior Analyst- M&A Advisory
Discretion Capital is a technology-enabled M&A advisory firm specializing in sell-side transactions for B2B SaaS companies. They are seeking a Senior Analyst to work on high-stakes transactions, managing financial workstreams and providing client advisory in the M&A process.

Responsibilities
Manage financial workstreams across 3-5 active M&A mandates simultaneously
Guide pre-diligence analysis to identify and resolve accounting issues before going to market
Build comprehensive financial models and valuation analyses for CIMs and buyer presentations
Assist buy-side due diligence processes, working directly with QoE teams
Analyze and present cohort-based revenue analytics, retention metrics, and unit economics
Calculate and normalize key SaaS metrics: ARR, Retention, CAC, LTV, etc
Build scenario models to help founders understand the impact of different growth strategies on valuation
Work directly with founder/CEOs to optimize financial presentation ahead of transactions
Help clients tell their financial story compellingly to sophisticated buyers
Advise on accounting policy decisions that impact deal perception and valuation
Qualification
Required
3-5 years of experience in Transaction Advisory, Quality of Earnings, or Deal Advisory at a Big 4 or national accounting firm
Strong technical accounting skills with deep understanding of GAAP, revenue recognition, and financial statement analysis
Proven experience managing multiple concurrent engagements under tight deadlines
Advanced Excel/Google Sheets modeling capabilities
Bachelor's degree in Accounting or Finance (CPA preferred but not required)
Preferred
Experience working on sell-side M&A transactions, ideally B2B SaaS-related deals
Familiarity with SaaS metrics and subscription revenue accounting (ASC 606)
Understanding of how strategic and private equity buyers evaluate software businesses
Entrepreneurial mindset and comfort with ambiguity (we're a small, high-growth firm)
Excellent client-facing communication skills with ability to explain complex financial concepts simply
Detail-oriented with strong judgment about what matters in deal contexts
Intellectual curiosity about technology businesses and M&A markets
Self-starter who can operate independently and manage workflow without constant oversight
