Responsibilities
Lead the negotiation and drafting of complex commercial and project-related agreements including: real estate and land control contracts, Engineering, Procurement, and Construction (EPC) contracts, Equipment supply agreements, Power Purchase Agreements (PPAs), Operations & Maintenance (O&M) agreements, Asset Management Agreements (AMAs), interconnection documents, and joint development agreements
Provide legal support for M&A transactions, including structuring, drafting and negotiating transaction documents, managing due diligence processes, and coordinating with external counsel and internal stakeholders
Support project financing transactions and tax equity or preferred equity investments, including review and negotiation of finance-related documentation and preparation of ancillary documents such as resolutions, certificates, consents and waivers
Advise internal teams on legal risks and mitigation strategies across the project lifecycle
Ability to effectively manage and coordinate external counsel to ensure cost efficiency, quality of work, and alignment with company objectives
Mentor and supervise junior legal team members, including paralegals
Ensure compliance with applicable laws, regulations, and internal policies
Qualification
Required
Juris Doctor (JD) from an accredited law school
Licensed to practice law in at least one U.S. jurisdiction
Minimum of 4 years of relevant legal experience, ideally in Big Law with a focus on renewable energy, or project finance
Demonstrated experience in negotiating and drafting complex commercial agreements
Strong understanding of the legal and regulatory landscape in the renewable energy sector
Excellent communication, negotiation, and interpersonal skills
Exceptional attention to detail and ability to manage multiple complex projects simultaneously
Collaborative mindset with the ability to work cross-functionally in a fast-paced environment, being able to influence senior stakeholders
Preferred
Additional in-house experience with development of utility-scale solar, storage, and wind projects will be a plus
