Responsibilities
Work on fund formation engagements for private equity and venture capital sponsors and their investors
Draft and negotiate limited partnership agreements, subscription agreements, and side letter agreements
Perform legal review and completion of private placement memoranda
Draft general partner and management company arrangements
Handle regulatory compliance matters for private equity and venture capital firms
Manage all documents and processes relevant to fund formation transactions for private equity and venture capital firm clients
Qualification
Required
At least three years of experience in fund formation for private equity and venture capital sponsors and their investors
Knowledge of the Securities Act, the Investment Company Act, and the Investment Advisers Act, and their application to private equity and venture capital funds
Strong professional judgment and work ethic
Ability to work as a self-starter with excellent client service skills
Highly motivated with a desire for personal and professional growth in a collaborative environment
Applicants must be legally authorized to work in the United States without the need for sponsorship by the Firm (either now or in the future.)
