Responsibilities
Lead the structuring, formation, launch, and ongoing maintenance of private investment funds and related investment vehicles
Provide legal support for ongoing fund operations and investor matters
Support product development initiatives, including conducting legal research and analysis
Negotiate and review separate account investment management agreements, selling agreements, and placement agent agreements
Review and negotiate trading and counterparty documentation, including prime brokerage agreements, ISDAs, and related materials
Assist with strategic and operational projects across the firm’s investment platform
Provide general corporate legal support, including reviewing and negotiating vendor agreements and assisting with employment-related matters
Collaborate closely with the Compliance function to ensure regulatory alignment
Engage and coordinate with external counsel on specialized legal and regulatory matters
Qualification
Required
Approximately five years of post-law-school legal experience
At least two years of experience in an in-house legal role
Strong experience in private fund formation and investment management legal matters
Solid understanding of the Investment Advisers Act of 1940
General familiarity with related regulatory regimes, including the Investment Company Act of 1940, the Commodity Exchange Act, and applicable CFTC rules and regulations
Strong organizational skills with the ability to manage multiple priorities
Self-motivated, entrepreneurial mindset with a desire to take on increasing responsibility
Excellent communication and collaboration skills
