Corporate Counsel

Kelso Industries is a nationwide provider of HVAC, mechanical, plumbing, refrigeration, and electrical solutions, employing over 3,500 individuals across 30 companies. They are seeking a Senior Corporate Counsel to oversee commercial transactions, ensure legal compliance, and support business objectives through effective management of contract-related matters.

Responsibilities

Assist with commercial transactions, including drafting, reviewing, negotiating, and finalizing various types of contracts (e.g., MSAs, vendor agreements, service contracts, NDAs, licensing agreements)
Assist with ensuring compliance with applicable laws, regulations, and company policies across multiple states
Identify and mitigate potential legal risks associated with contractual agreements
Work closely with internal departments (e.g., finance, operations, sales) to understand business needs and provide legal guidance on contract-related matters
Handle contract disputes and provide strategic advice to resolve issues efficiently
Conduct training sessions for staff on contract management best practices and legal compliance
Assist in developing and updating company policies related to contracts and legal compliance
Maintain organized records of all contracts and related documents
Develop and implement procurement policies and procedures to ensure compliance with legal and regulatory requirements. Review and negotiate vendor contracts to secure favorable terms and mitigate risks

Required

Juris Doctor (JD) degree from an accredited law school
Minimum of 4+ years of experience in contract law, preferably in a corporate legal department
Active bar membership in good standing
Strong knowledge of contract law and legal principles
Excellent negotiation, drafting, and communication skills
Ability to manage multiple projects and meet deadlines
High attention to detail and organizational skills
Proficient with Microsoft Office Suite or related software
Comfortable working in an evolving and growing environment

Preferred

Experience in the construction industry and with M&A activities is preferred
