Represent clients in M&A transactions, including drafting and negotiating purchase agreements, disclosure schedules, and related documents
Advise on corporate formation and structuring, including drafting operating agreements, shareholder agreements, and buy/sell agreements
Provide counsel on corporate governance matters and ensure compliance with applicable laws and regulations
Draft and review a wide range of corporate agreements and contracts
Support business clients with day-to-day corporate legal needs
Experience in corporate formation, governance, operating agreements, buy/sell agreements, and M&A transactions
Familiarity with private equity, venture capital transactions, or related tax and securities law issues
Qualification
Required
2+ years' experience in a law firm setting
Experience in M&A transactions, including drafting and negotiating purchase agreements, disclosure schedules, and related documents
Experience in corporate formation and structuring, including drafting operating agreements, shareholder agreements, and buy/sell agreements
Experience providing counsel on corporate governance matters and ensuring compliance with applicable laws and regulations
Experience drafting and reviewing a wide range of corporate agreements and contracts
Experience supporting business clients with day-to-day corporate legal needs
Experience in corporate formation, governance, operating agreements, buy/sell agreements, and M&A transactions
Familiarity with private equity, venture capital transactions, or related tax and securities law issues
