Responsibilities
Handle structured finance deals and capital transactions, including: loan portfolio acquisition and disposition agreements, credit facility arrangements and financing structures, associated transaction documents and buyer/seller due diligence materials
Collaborate across departments (Finance, Treasury, Operations, Risk Management, Regulatory) to execute deals efficiently while maintaining compliance standards
Guide investor diligence processes, negotiate representations and warranties, and address loan servicing specifications
Contribute to growth equity transactions (Series A and beyond) through term sheet negotiation and investor review processes
Deliver broad-based corporate counsel on matters such as board governance, vendor agreements, and strategic initiatives
Ensure regulatory compliance within the bank partnership program framework for loan origination, administration, and disposition
Develop standardized forms, negotiation guidelines, and workflow enhancements
Qualification
Required
JD, member in good standing of at least one state bar
4+ years of legal experience
Expertise in structured finance or capital markets, transactions involving consumer and SMB lending products
Understanding of consumer finance regulations (Truth in Lending Act, Equal Credit Opportunity Act, Fair Credit Reporting Act, marketplace lending structures) beneficial
Proven document drafting and deal negotiation capabilities, with ability to juggle competing deadlines
