Associate Attorney - Corporate Law
MagStone Law LLP is a growing business law firm focused on venture financings, M&A, and securities transactions for startups and investors. They are seeking a talented and motivated associate attorney with experience in U.S. venture capital and corporate law to manage complex client matters and provide strategic legal solutions.
Consulting
Responsibilities
Draft, review, and negotiate a wide range of corporate and transactional documents, including financing documents, stock purchase agreements, SAFE/convertible notes, and M&A transaction documents
Advise emerging growth companies and investors throughout their lifecycle—from formation to financing and exit
Conduct legal due diligence for M&A and venture capital transactions
Advise on corporate compliance matters and draft, review, and negotiate various commercial contracts
Provide practical and strategic advice to clients on corporate structure, capitalization, and compliance matters
Collaborate with partners and clients to deliver efficient, business-focused legal solutions
Qualification
Required
Minimum 2 years of experience in U.S. venture capital, M&A, and general corporate practice at a reputable law firm or comparable experience in Non-U.S. venture capital and M&A field
J.D. or L.L.M from an accredited U.S. law school
Licensed to practice law in the United States
Strong drafting, negotiation, and communication skills
Ability to manage multiple projects with attention to detail and deadlines
Entrepreneurial mindset and interest in working with startups, investors, and cross-border transactions
Preferred
Bilingual in English and Chinese is preferred
