5+ years expInnovative Driven is currently seeking a dynamic Senior Corporate Paralegal with at least five years of experience focused in Capital Markets, Startups and Mergers & Acquisitions to join the team at one of our most well-respected law firm clients. This position involves a variety of responsibilities including facilitating IPOs, managing corporate records, and coordinating shareholder mailings.

Responsibilities
Facilitation of IPO's and public company matters and registration statement numerical backup spreadsheets, beneficial ownership tables
Completion of '34 act, Section 16 reporting, Rule 144 and legend removal letters
Handling transfer agent onboarding, stock exchange applications, FINRA filings, selling stockholder matters
Managing the workflow for closing documents, closing volumes and board resolutions and minutes
Updating corporate records management, stock option plan implementation and administration, venture capital financings
Conducting Blue Sky research
Collecting due diligence documents and organize electronic data sites
Performing diligence research and capitalization due diligence
Coordinating shareholder mailings and regulatory filings
Drafting and manage signing and closing documents, and preparing closing volumes
Qualification
Required
5+ years of corporate and transactional experience, including work with capital markets and start ups
Experience in capitalization maintenance platforms such as Carta and ShareWorks
Experience working in a large corporate setting or law firm
Substantial experience with Excel spreadsheets
A four-year degree and/or a paralegal certificate from an ABA-approved program
