Senior Counsel - Corporate, Securities & Finance
Energy Job Search is looking for a Senior Counsel to manage and coordinate GE Aerospace's securities law compliance and corporate governance matters. The successful candidate will work closely with various internal clients and groups, providing counsel on securities laws and corporate governance while overseeing SEC reporting and compliance activities.

Responsibilities
Managing SEC reporting and monitoring, corporate governance, executive compensation disclosure and monitoring, stock exchange listing compliance, securities aspects of treasury and M&A activity, global securities compliance, and coordination across corporate, securities, and regulatory lawyers across GE Aerospace
Counseling GE Aerospace's board of directors, senior leadership, and employees on securities laws, corporate governance, and disclosure matters
Preparing for company board meetings, including preparation of agendas and meeting materials and drafting board minutes
Maintaining GE Aerospace's corporate governance documents and advising on related policies and practices
Preparing and reviewing the company's Exchange Act reports and Securities Act registration statements
Helping to maintain and strengthen the company's disclosure controls and procedures and internal control over financial reporting
Administering the company's insider trading policy and programs, and managing the filing of insider transaction reports
Assisting with the preparation of the company's annual proxy statement and preparation for the company's annual meeting of shareowners
Engaging with institutional investors and other external stakeholders on corporate governance, executive compensation and other practices
Advising senior management and Human Resources about securities and disclosure implications of executive compensation and employee benefits decisions, policies and plans
Assisting with sustainability matters, including disclosure and external reporting on the Company's narratives, progress and results across relevant sustainability topic areas
Coordinating internal and external legal resources to assure U.S. and international securities law and stock exchange listing compliance
Staying abreast of emerging trends and developments in securities law, corporate law and governance
Qualification
Required
Member in good standing of the bar of at least one U.S. state
A minimum of 5 years of relevant legal experience (5-7 years preferred) with significant focus on corporate and securities law matters
A minimum of 3 years of hands‑on experience advising on corporate and securities law issues, preferably gained at a nationally or regionally recognized law firm (in‑house experience with a public company a plus)
