Corporate Paralegal

Talent Acquisition LLC is a mission-driven law firm seeking a Corporate Paralegal to join its Washington, D.C. office. This role supports nonprofit and political clients by performing a wide range of corporate, regulatory, and compliance-related work, collaborating closely with attorneys and other paralegals.

Responsibilities

Assist with the formation, maintenance, and dissolution of nonprofit corporate entities and prepare related organizational documents
Draft, file, and track periodic corporate reports to ensure clients remain in good standing with state authorities
File client documents with state regulatory agencies, as well as federal agencies including the Federal Election Commission and Internal Revenue Service
Organize, maintain, and update corporate records and client notebooks
Communicate with clients and state and federal regulatory bodies via email and phone
Develop and improve systems and processes for client record maintenance
Coordinate client file openings with regional registration agents across applicable jurisdictions
Conduct legal research and stay current on changes in state corporate filing requirements
Handle audit representation letters for clients
Perform federal, state, and local campaign finance research and assist with candidate and committee reporting
Vet donors for various political committees and nonprofit organizations
Provide rapid post-election recount and litigation support as needed
Design, edit, and proofread legal briefings, memoranda, presentations, and other work product to ensure clarity and accuracy
Prepare materials for production and distribution in response to inquiries from federal and state regulatory authorities; coordinate with internal teams and external vendors to meet deadlines
Collaborate with other paralegals to balance workloads and address coverage needs
Maintain professional, confidential, and productive relationships with attorneys, staff, and clients
Assist with additional client or firm administrative projects as needed

Required

Bachelor's degree required
Experience forming, maintaining, and dissolving corporate entities and preparing organizational documents required; nonprofit experience is a plus
Excellent organizational, prioritization, and communication skills
Proven ability to manage multiple projects across competing deadlines
High level of attention to detail, sound judgment, and strong research skills
Proficiency in Microsoft Office applications required

Preferred

Minimum of two years of corporate paralegal experience in a law firm or business environment preferred
Strong interest or background in politics preferred
Experience with legal research platforms such as Westlaw or LexisNexis preferred
Legal cite-checking skills or willingness to learn is a plus
Adaptable, collaborative, and comfortable working with diverse working styles
