Drafting and negotiating fund organizational documents (e.g., limited partnership agreements, LLC agreements, subscription documents)
Experience structuring private investment funds across asset classes, including private equity, real estate, credit, venture capital, or hedge funds
Familiarity with market terms, economic provisions, and investor expectations in fund documentation
Representing fund sponsors on formation, governance, compliance, and operational matters
Assisting with management company formation and structuring
Advising on carried interest allocation, co‑investment structures, and incentive arrangements
Exposure to securities law issues impacting funds
Qualification
Required
3–5 years of experience in private funds formation
Experience with core private fund formation work
