Christian Legal Society is seeking an Associate Attorney to serve its nonprofit and family business clients. The role involves advising on corporate governance, tax-exempt compliance, and various legal matters related to nonprofit organizations.

Responsibilities
Corporate Governance & Structure: Advise and counsel clients on entity formation, bylaws, amendments, board resolutions, policies, and compliance with state/federal laws and regulations
Tax-Exempt Compliance: Advise and counsel clients on maintaining section 501(c)(3) status compliance, IRS reporting (Form 990), and advise on private inurement and prohibited activities
Planned Giving and Estate Planning: Advise and counsel clients on planned giving, drafting estate planning and planned giving documents
Employment Law: Advise and counsel clients on a variety of employment matters including the ministerial exception
Risk Management & Policy: Develop and update employment policies, child protection policies, and liability waivers tailored to the unique risks of religious and nonprofit organizations
General Counsel Services: Act as a trusted advisor to church and nonprofit leaders and boards and managing day-to-day legal needs
Contract Negotiation & Drafting: Review, draft, and negotiate a wide variety of commercial contracts, including vendor agreements, service contracts, vendor contracts, intellectual property licensing, and event agreements
Real Estate Transactions: Handle real estate acquisitions, sales, leasing, and financing, including due diligence, title/survey review, and closing
Communicating with Clients in a timely and responsive manner: Demonstrate timely responsiveness to client needs
Solution-minded approach: Ability to find solutions to client issues
Ability to resolve client matters in a favorable and cost-effective manner
Qualification
Required
Juris Doctor (JD) from an accredited law school
2-5 years of experience in one or more of the following practice areas: nonprofits (including corporate or tax nonprofit experience), corporate and partnership taxation, state and local taxation, corporate counsel, business transactions, real estate
Licensed to practice law in Texas (or eligible for admission by reciprocity)
Ability to manage a diverse caseload
Strong motivation and skills for client development
Critical thinking and advanced legal research and writing capabilities
Ability to work independently and as part of a team
Attention to detail and strong organizational skills
Strong ethical standards and integrity
Demonstrated community service
Located in the DFW area; available for in-office and remote work
Texas Bar License
