Advising fund sponsors on drafting and negotiating core fund documents (placement memoranda, partnership agreements, subscription agreements and side letters)
Knowledge of fund terms and issues impacting private investment fund sponsors and investors
Relevant securities rules and regulations
Experience reviewing fund and co-invest documentation for institutional investors is a plus
Qualification
Required
At least 3 years of experience in private investment fund formation and related matters
Experience advising fund sponsors on drafting and negotiating core fund documents (placement memoranda, partnership agreements, subscription agreements and side letters)
Knowledge of fund terms and issues impacting private investment fund sponsors and investors
Knowledge of relevant securities rules and regulations
Experience reviewing fund and co-invest documentation for institutional investors
Strong academic credentials
Excellent writing and analytical skills
Large-firm or equivalent experience
CT Bar admission required
Preferred
NY Bar admission is a plus
