Responsibilities

Draft, review, and support negotiation of commercial contracts, including:
Vendor and supplier agreements
Sales and service agreements
Technology and software contracts
Licensing agreements
Nondisclosure agreements (NDAs)
Identify contractual risks and develop mitigation strategies related to:
Indemnification
Liability limitations
Intellectual property rights
Collaborate cross-functionally with sales, procurement, finance, operations, and legal teams to ensure contracts align with business objectives
Manage the full contract lifecycle, including drafting, execution, renewals, amendments, and terminations
Maintain and update contract templates, clause libraries, and negotiation playbooks to promote consistency and compliance
Ensure compliance with applicable laws, regulations, and internal governance standards
Track contract obligations, milestones, deadlines, and renewals using contract management systems
Coordinate closely with internal legal staff on escalations, disputes, and complex contractual issues

Required

Bachelor's degree required
Minimum of 8 years of contract management experience
At least 5 years in a senior or lead contract management role
Strong understanding of contract law and legal principles
Familiarity with the Uniform Commercial Code (UCC)
Experience in manufacturing and supply chain environments
Strong negotiation and risk assessment skills
Excellent written and verbal communication abilities
Ability to translate legal and business risks for non-legal stakeholders
High attention to detail and strong organizational skills
Ability to manage multiple contracts simultaneously and prioritize effectively
Proficiency in Microsoft Office Suite and contract management software
Minimal travel required as needed to company sites

Preferred

Paralegal certification from an ABA-approved program preferred
Legal degree a plus
Exposure to international contract law and cross-border transactions preferred
Familiarity with Salesforce preferred
Project management experience or certification (e.g., PMP) a plus
