Mid LevelCapital Q® Ventures Inc. is seeking a Venture Capital Legal & Compliance Manager (Paralegal) to ensure compliance with legal regulations for their venture capital fund and portfolio companies. The role involves preparing legal documents, conducting due diligence, and coordinating communication with portfolio companies and investors.

Responsibilities
Prepare and review VC Offer Letters, and assist with private placement memorandums, term sheets, contracts, and investment agreements
Assist with entity formation and corporate record maintenance
Review subscription agreements and side letters
Conduct legal due diligence, including articles of incorporation, by-laws, and capitalization tables
Perform legal research and analysis
Assist with SEC EDGAR filing with Fund Admin and service providers
Communicate with portfolio companies and investors
Coordinate training events and business development efforts
Qualification
Required
A bachelor's degree in paralegal studies or a related legal field
Basic knowledge of Fund Compliance
Basic understanding of securities and corporate law
Excellent organizational and multi-tasking skills
Proficiency in legal document management
Strong written and verbal communication skills
Preferred
FINRA SIE, Series 65 or 14 a plus (warrants additional compensation)
