Transactional Attorney
ExxonMobil is one of the world’s largest publicly traded energy and chemical companies, seeking to hire a Transactional Attorney for its legal team in Spring, Texas. The attorney will provide legal support for commercial transactions and work closely with business leaders to mitigate legal risks and ensure compliance.

Responsibilities
Provide day-to-day legal support for ExxonMobil business units, developing relationships with key business leaders to drive positive business results
Support and lead a wide range of commercial transactions, including joint ventures, acquisitions, divestments, and other strategic transactions
Draft, review and negotiate commercial agreements, including M&A, joint venture and partnership agreements customer and supplier agreements EPC, project financing, and other project-related agreements and goods and services contracts
Conduct and coordinate research into a variety of legal issues, providing legal analysis and counsel to business leaders that anticipates and helps mitigate legal risks
Work closely with other teams in the ExxonMobil Law Department, other ExxonMobil functional groups (e.g., tax, regulatory, and finance functions), and business lines
Interface with outside counsel on certain transactions, regulatory matters, and disputes
Qualification
Required
Minimum of three (3) years of relevant legal experience, at least partially with a major law firm, corporate legal department, or government agency
J.D. from an accredited law school
Strong college and law school record
Licensed to practice law in at least one state
Strong transactional background
Demonstrated research and writing proficiency
Effective interpersonal and communication skills
High ethical standards and integrity
Strong analytical skills and ability to exercise sound business judgment
Ability and desire to work independently and as a member of an integrated team
Able and willing to travel domestically and internationally in support of client transactions as needed
Preferred
Transactional experience in the energy industry
Experience drafting and negotiating agreements for complex transactions, including M&A transactions, joint ventures, investments, and other strategic transactions
Project finance experience on major energy or infrastructure projects
Experience managing legal compliance issues (e.g., antitrust, anti-corruption and trade law matters)
Commercial litigation experience in a law firm or corporation, including experience handling and managing significant and complex commercial litigation matters
Demonstrated record of leadership and initiative
Foreign language proficiency is a plus
Texas Bar Membership is preferred
