Responsibilities

Drafting & Negotiating: Draft, review, and negotiate a variety of commercial contracts with vendors, business partners, and other third parties, including non-disclosure agreements, master services agreements, statements of work, order forms, change orders, amendments, terminations, and assignments
Risk Mitigation: Identify and flag potential risks, inconsistencies, or gaps in contract language and propose practical, business-competent solutions
Research & Analysis:
Conduct legal research and analysis to support contract interpretation and business decision-making
Prepare contract summaries and executive summaries for other members of the Legal team and key stakeholders
Contract Optimization: Collaborate with key internal and external stakeholders to optimize contracts from M&As, including consolidating contracts as well as drafting contract terminations, consolidations, and assignments and driving them to execution
Manage Legal Workflow for Contracts End-to-End:
Organize, manage, update, and optimize templates, playbooks, and processes
Create additional templates, playbooks, and processes to enhance efficiency and customer service
Maintain contracts tracker to ensure timely completion of contract reviews per agreed SLAs
Prepare contracts for execution using DocuSign or other similar solution
Maintain a comprehensive database of executed contracts and successfully transition it to our CLM tool, including ensuring appropriate access controls and useful metadata
In collaboration with other key internal and external stakeholders, drive implementation of new workflows and additional functionality in our CLM
Track tasks and timelines for all projects to ensure timely delivery
Provide a high-quality service level to all internal and external constituents ensuring accuracy, efficiency, and consistency
Establish positive and productive relationships with internal stakeholders and senior leadership
Assist other members of the Legal team on a variety of tasks, projects, processes, and initiatives, as requested
Perform other work and projects, as assigned

Required

J.D. from an accredited law school and a member in good standing of a U.S. state bar
3-5 years of experience in a similar role
Extensive legal contract drafting, review, and negotiation skills, with the ability to identify risks and propose effective solutions, particularly with enterprise contracts, including technology and software contracts
Demonstrated experience managing CLMs and driving technology implementation is a significant plus
In-house legal experience is a plus
Substantial experience with drafting, reviewing, and negotiating vendor and supplier contracts
Excel working independently with little operational or execution oversight
Strong multitasker; able to prioritize tasks effectively in a fast-paced environment
Exceptional judgment, balancing risk with business priorities
Hardworking, motivated, proactive and results oriented
Comfortable fielding questions from the most senior to the most junior teammates
Exceedingly organized and meticulous
Unquestioned integrity
Desire to be part of a fast-growing firm
Team oriented with the ability to build relationships and earn the respect of others
Excellent communication (verbal and written), organizational and interpersonal skills, and the ability to work collaboratively across multiple groups and functions
Must be 18 years of age or older
Must be willing to submit to a background investigation; any offer of employment is conditioned upon the successful completion of a background investigation
Must have unrestricted work authorization to work in the United States
Must be willing to execute Corient's Employee Agreement or Confidentiality and Non-Disclosure Agreement, which require, among other things, post-employment obligations relating to non-solicitation, confidentiality, and non-disclosure
