Responsibilities
Prepare board and shareholder consents, resolutions, and organizational documents
Advise clients on general corporate matters throughout the business lifecycle
Serve as a point of contact for clients on assigned matters
Contribute to internal deal tracking and matter management processes
Draft and negotiate ancillary closing documents and support deal closings
Handle entity formation, restructurings, and ongoing corporate governance matters
Represent clients in mergers, acquisitions, asset purchases, and equity transactions
Manage due diligence processes and directly collaborate with clients to prepare disclosure schedules
Qualification
Required
2–4 years of corporate law experience with a focus on M&A, entity formation, and corporate governance
Admitted to practice in New York and/or New Jersey, with willingness and ability to waive into the other jurisdiction within one year
