Corporate & Commercial Counsel (US) – Dallas
Jasper Colin is a B2B market research and analytics firm helping enterprises make high-impact decisions. The Corporate & Commercial Counsel will serve as the primary legal advisor for Jasper Colin’s U.S. operations, partnering with various teams to ensure legal integrity and support growth.
Responsibilities
Draft, review, and negotiate B2B client contracts, MSAs, SOWs, NDAs, SLAs, DPAs, and vendor agreements
Support U.S. entity setup, governance, board resolutions, and ongoing corporate compliance
Advise leadership on risk assessment, liability exposure, and contract structuring
Ensure compliance with CCPA, GDPR (US applicability), HIPAA (as applicable), DPDP, and emerging U.S. data privacy regulations
Advise on data usage, consent frameworks, survey compliance, and research ethics
Partner with internal teams on ISO 27001, ESOMAR, and research governance requirements
Act as a legal partner to Sales, Client Solutions, and Delivery teams
Support deal velocity by creating contract playbooks, fallback positions, and standardized templates
Advise on enterprise procurement, indemnities, IP clauses, and limitation of liability
Protect company intellectual property, proprietary frameworks, analytics models, and research outputs
Advise on software licensing, SaaS terms, platform usage policies, and third-party integrations
Support product teams on legal implications of automation, analytics platforms, and AI-enabled research tools
Support U.S. hiring with employment contracts, policies, and compliance guidance
Advise on contractor vs employee classifications
Partner with HR on workplace policies, disputes, and regulatory adherence
Manage and coordinate with external law firms, auditors, and compliance advisors
Act as a point of contact for legal matters involving clients, partners, and regulators
Qualification
Required
JD from an accredited U.S. law school
Licensed to practice law in Texas (or eligible to transfer)
7–12+ years of experience in corporate/commercial law, preferably with B2B services companies
Strong experience in enterprise contracts and data privacy
Ability to balance legal rigor with commercial pragmatism
Preferred
Experience working with research, analytics, SaaS, or data-driven organizations
Familiarity with ESOMAR, Insights Association, ISO, SOC, HIPAA, or similar frameworks
Experience supporting U.S. expansion or multinational companies
Exposure to AI, analytics platforms, or digital products
