In-House Counsel
Kalidy LLC is a group of companies based in Edmond, Oklahoma, seeking a full-time In-House Counsel. This role involves providing legal counsel across real estate, automotive, and financial sectors while maintaining confidentiality and discretion in all business dealings.
Responsibilities
Draft, review, and negotiate property sales contracts, leases, and development agreements
Provide legal advice on zoning, land use regulations, and property tax matters
Guide clients through the legal intricacies of real estate investments, acquisitions, and disposals
Resolve disputes involving landlords, tenants, and property owners through mediation or litigation
Create and review contracts related to dealership operations, including franchise agreements and vendor contracts
Ensure compliance with industry regulations, such as consumer protection and advertising laws
Represent dealerships in disputes over transactions, warranties, or financing terms
Advise on dealership mergers, acquisitions, or expansions
Draft and review loan agreements, financing contracts, and credit facilities
Counsel clients on regulatory compliance with state and federal financial laws
Provide legal representation in cases involving lending disputes or debt restructuring
Offer strategic advice on financial risk management and corporate governance
A strong understanding of relevant federal, state, and local employment laws
Understanding and applying the Fair Labor Standards Act (FSLA)
Understanding and complying with laws related to leave, such as the Family and Medical Leave Act (FMLA)
Understanding and complying with laws related to termination and layoffs
Research and analyze legal trends affecting real estate, automotive, and financial sectors
Represent the company in court proceedings, arbitration, or alternative dispute resolution methods
Litigation in auto, and/or real estate experience strongly preferred
Strong research, writing, and courtroom skills
Maintain accurate records and documentation for all legal processes and transactions
Establish strong relationships with the company’s employees and customers to understand their unique legal needs and deliver personalized solutions
Qualification
Required
5+ years' experience in-house or law firm
JD from an ABA accredited law school
License in good standing to practice law in Oklahoma (or eligible to waive in)
Valid Driver's License
Availability Monday through Friday from 8 am to 5 pm
Ability to speak, read and write clear, concise English
Proficient in Microsoft Word
Professional appearance and demeanor
