Responsibilities
Assist with all aspects of emerging company and venture fund work, including preparation and maintenance of organizational documents, partnership/LLC agreements, side letters, transfer agreements, and admission agreements
Conduct investor suitability due diligence and review documents for fund formation matters
Conduct research on Federal and State securities regulations and assist with SEC compliance reporting for venture fund clients
Prepare and file requisite notices, conduct due diligence reviews, and assist with preparation of opinions and backup documentation
Complete time sheets, e-timelogs, and other administrative tasks in a timely manner
Perform additional duties as assigned to support attorneys and the fund formation team
Qualification
Required
5+ years of paralegal experience
Bachelor's degree required
Ability to work independently and as part of a team in a fast-paced environment
Manage multiple supervisors and meet deadlines
Proficiency in Microsoft Office, iManage, and other firm applications
Strong organizational, communication, and proofreading skills with exceptional attention to detail
Professionalism, reliability, initiative, and ability to handle sensitive client matters
Preferred
Paralegal Certificate preferred
Minimum 5 years of paralegal experience, ideally in Fund Formation
