Responsibilities
Draft, review, and negotiate a wide range of commercial contracts and legal documents
Provide legal analysis and guidance on business law matters, regulatory issues, and risk mitigation
Conduct legal research and prepare memoranda on complex legal topics affecting the firm’s operations
Develop and maintain corporate governance policies and compliance programs
Monitor changes in laws and regulations and advise leadership on necessary updates
Prepare, update and maintain corporate records, including board minutes, resolutions, and entity filings
Support legal aspects of mergers, acquisitions, joint ventures, and other strategic transactions
Conduct and oversee due diligence processes and prepare related reports
Coordinate transaction closings and ensure proper documentation and filings
Serve as a legal liaison between the General Counsel Team and internal departments, external counsel, and regulatory bodies
Provide legal support to finance, HR, and operations teams on compliance, contracts, and internal controls
Assist in the development of internal workflows and process improvements related to legal operations
Qualification
Required
Juris Doctor (JD) from an accredited law school
Active license to practice law in Texas
Minimum of 5–8 years of legal experience, preferably in a corporate legal department or law firm setting
Strong background in business law, contract law, and corporate transactions
Exceptional drafting, negotiation, and analytical skills
Strong understanding of corporate governance, compliance frameworks, and regulatory environments
Proficiency in Microsoft Office, legal research platforms, and document management systems
Ability to manage multiple priorities in a fast-paced, evolving environment
Comfort working in an evolving environment with a high level of discretion and professionalism
Strong written and verbal communication skills, with the ability to convey complex information clearly and professionally
Works effectively in team environments, with strong communication skills and a cooperative mindset
