This role will focus primarily on technology contracting, including SaaS, software licensing, cloud services, and IT professional services, while also providing general commercial contracting support to business stakeholders across the company.

Responsibilities
Draft, review, and negotiate a wide variety of IT agreements, including:
SaaS and cloud services
Software licensing (perpetual, term, subscription)
Professional and managed services
Infrastructure, networking, and telecom agreements
Statements of Work (SOWs)
Ensure alignment with internal standards for privacy, security, SLAs, and commercial terms
Collaborate with IT, InfoSec, Privacy, and Procurement to address risks and drive deals to completion
General Commercial Contracting (Secondary Focus)
Support procurement buyers with drafting and negotiating:
Master Service Agreements (MSAs)
Consulting and vendor services contracts
Operations agreements
NDAs and renewals
Data privacy agreements
Risk, Compliance & Business Support
Identify and mitigate legal and commercial risks across IT and indirect spend categories
Interpret complex legal language into clear business implications for stakeholders
Participate in vendor and internal meetings to support deal execution
Improve contract templates, playbooks, and contracting workflows
Qualification
Required
Juris Doctor (JD) and active license
7-10 years of experience drafting and negotiating IT and commercial contracts
Deep familiarity with SaaS/cloud contracting
Deep familiarity with software licensing
Deep familiarity with data protection and privacy terms (e.g., GDPR, CCPA/CPRA)
Deep familiarity with IP ownership and licensing
Ability to independently manage a high-volume, fast-moving contract portfolio
Strong communication skills with both legal and non-legal stakeholders
Preferred
Experience supporting Indirect Procurement or sourcing organizations
Previous in-house counsel or corporate contracting experience
Familiarity with InfoSec controls (SOC2, ISO 27001), data privacy, and vendor risk assessments
Comfortable negotiating with major enterprise technology vendors
