Responsibilities
Structure and negotiate securities offerings, private placements, and compliance matters under SEC regulations
Advise on M&A transactions, joint ventures, and corporate governance for public/private companies and funds
Handle private equity and fund formation, including LP/GP agreements and investor-side representations
Conduct due diligence, draft disclosure documents, and counsel on ongoing reporting obligations
Collaborate on cross-practice deals blending securities with banking, finance, and transactional expertise
Qualification
Required
Juris Doctor (JD) degree from an accredited law school
Active attorney license in good standing
3+ years of experience in securities transactions, M&A, and corporate governance
Strong understanding of SEC regulations and compliance matters
Experience with private equity fund formation and LP/GP agreements
Excellent negotiation and communication skills
Ability to conduct due diligence and draft disclosure documents
Experience advising on joint ventures and corporate governance for public/private companies and funds
