Responsibilities
Structure and negotiate sophisticated M&A, financing, and joint venture transactions for public/private companies and investors
Advise on corporate governance, securities compliance, and cross-border deals with integrated multidisciplinary support
Conduct due diligence, draft agreements, and manage closings in middle-market and emerging growth matters
Counsel emerging companies on formation, fundraising, and strategic expansions
Collaborate on thought leadership and client development in a nationally ranked corporate practice
Qualification
Required
J.D. degree from an accredited law school
Active bar admission in New York or willingness to obtain
2-5 years of experience in corporate law, specifically in M&A and financing
Strong understanding of corporate governance and securities compliance
Experience with cross-border transactions
Excellent negotiation and drafting skills
Ability to conduct due diligence and manage closings
Strong communication and interpersonal skills
Demonstrated ability to work collaboratively in a team environment
Preferred
Experience advising emerging growth companies
Familiarity with private equity and joint ventures
Prior experience in a prestigious law firm or corporate legal department
Interest in thought leadership and client development
