Responsibilities
Drafting, revising, proofreading, and formatting correspondence and complex corporate and transactional documents
Assisting with entity formations, governance, compliance, and ongoing entity maintenance
Reviewing, organizing, and preparing agreements, contracts, and transaction materials for attorney review
Coordinating signatures, closings, and post-closing deliverables
Supporting due diligence efforts, including organizing and managing data rooms and transaction files
Communicating directly with clients, internal teams, and external vendors
Managing attorney calendars, deadlines, and time entry
Preparing and submitting attorney expense reimbursements
Supporting attorneys and paralegals with a wide range of corporate and tax-related projects
Qualification
Required
3+ years of Legal Assistant experience, preferably in a corporate or transactional law firm practice
ABA-approved Paralegal Certificate required
Strong proficiency in Microsoft Office (Word, Excel, Outlook)
Excellent written and verbal communication skills
Ability to manage multiple priorities and deadlines in a fast-paced environment
A positive, proactive, and solutions-oriented mindset with a strong sense of ownership
Preferred
Experience with iManage preferred
