The VP, Legal & Compliance will oversee all legal matters, regulatory compliance, and risk management activities, ensuring the organization operates within applicable lending laws while supporting business growth and strategic initiatives.

Responsibilities
Manage all legal affairs including contract review and negotiation, litigation management, and corporate governance matters. This includes drafting and reviewing loan documents, vendor agreements, and partnership contracts, while providing legal counsel to executive leadership on business decisions and strategic initiatives
Design, implement, and overseethe organization's Compliance Management System (CMS) to ensure adherence to all applicable lending laws and regulations
Develop and maintain comprehensive compliance policies, procedures, and training programs specific to lending operations and investor relations
Regularly review and update the CMS to adapt to regulatory changes and evolving business needs
Ensure compliance with all applicable consumer lending regulations including TILA, RESPA, ECOA, FCRA, FDCPA, state lending laws, and other relevant federal and state regulations
Serve as primary liaison with regulatory agencies and examiners during audits and examinations
Oversee compliance with investor guidelines and regulatory agency standards, ensuring that lending practices align with these requirements
Conduct regular compliance testing and audits to assess the effectiveness of the CMS and identify areas for improvement
Develop and implement policies and procedures to ensure compliance with regulations related to investor communications and disclosures
Review and approve investor-facing materials to ensure accuracy, transparency, and compliance with applicable laws and regulations
Address investor inquiries and concerns related to compliance matters in a timely and professional manner
Conduct regular risk assessments to identify potential legal and compliance risks and vulnerabilities within the lending and investor relations functions
Develop and implement strategies and controls to mitigate identified risks and ensure the organization's overall compliance posture
Maintain accurate records of compliance activities, risk assessments, and remediation efforts
Develop and deliver effective compliance training programs for employees at all levels, focusing on lending regulations, investor relations compliance, and ethical conduct
Ensure employees understand their responsibilities and are equipped to perform their duties in a compliant manner
Prepare regular compliance reports for executive leadership and the Board of Directors, maintain corporate records and filings, and develop and update the compliance management system
Build and lead the legal and compliance team, providing training and guidance to staff on legal and regulatory requirements, and collaborating with other departments including Operations and Finance
Qualification
Required
JD from an accredited school and active bar membership in good standing
Minimum 4-7 years of relevant experience
Thorough understanding of consumer lending regulations and all relevant laws (e.g., BSA/AML, TCPA, CFPB, Reg F, Reg Z, OFAC)
Proven leadership experience and ability to build/manage teams
Excellent communication and interpersonal skills
Ability to work independently and collaborate effectively with cross-functional teams
Experience working with regulatory agencies and managing examinations
