Responsibilities

Drafting/updating and negotiation of client facing Technology & Managed Services Agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments
Advising on key legal risks associated with the technology underpinning Managed Services Agreements
Collaborating closely with other members of the US GCO as well as local counsel in other EY member firms
Coordination of legal resources on managed services projects
Support coordination with cross functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary or appropriate for Technology & Managed Services Agreements
Advising on the accuracy and sufficiency of contractual documentation to effectively protect EY interests
Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services and products
Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of the GCO
Building relationships and teaming seamlessly with other members of GCO, within the Legal Practice Groups, as appropriate, to deliver exceptional service to clients of GCO
Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business, where requested or appropriate

Required

4+ years of relevant complex services and technology-related transactional experience in a client-facing capacity, including drafting and negotiation of Technology & Managed Services Agreements. Experience negotiating across from client's internal counsel, outside law firms, and procurement
Experience developing contracting templates, playbooks and standards
Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements
Experience with cross-border contracting (including employee matters such as auto-transfer laws, local country agreements, and cross boarder data transfer)
Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain the related legal and business risks in a practical manner
Excellent communication skills, both oral and written
Excellent negotiation and interpersonal skills
High degree of cultural and emotional intelligence, and demonstrated aptitude for resilience, flexibility, and ability to adapt to changing circumstances and dynamics
Ability to work independently and team effectively with colleagues in other functions and geographic locations
Ability to grasp, understand, and accurately articulate and document complex legal and contractual principles, and balance risk from both a legal and commercial perspective
Highly responsive with ability to manage high workload volumes and competing priorities efficiently and effectively
Solution oriented with focus on exceptional client service
Experience in a managed services counsel role in a technology or consulting organization with experience leading negotiations
A bachelor's degree from an accredited 4-year college
Juris Doctor from an accredited law school
Membership in a State Bar as an attorney qualified to practice law
Good standing with the applicable State Bar including being current on individual state Continuing Legal Education requirements
