Responsibilities
Represent issuers, investment banks, and underwriters in public and private offerings of equity, equity-linked, and debt securities
Advise on securities law compliance under the Securities Act of 1933 and the Securities Exchange Act of 1934
Counsel companies on exchange listing requirements and governance considerations
Draft and review registration statements, prospectuses, offering memoranda, and shelf filings
Prepare and review SEC filings, including periodic reports and proxy statements
Negotiate and draft underwriting, purchase, and related transaction agreements
Qualification
Required
Juris Doctor (JD) required
2–6 years of capital markets experience gained at a law firm
Strong background in public company representation and securities offerings
Admitted to practice in the relevant U.S. jurisdiction
Detail-oriented, commercially minded, and comfortable handling complex matters with limited supervision
