Responsibilities

Support venture capital financings and mergers and acquisitions involving emerging growth companies
Advise clients on a wide range of corporate governance matters
Negotiate and manage preferred stock, bridge, and SAFE financings
Conduct and oversee due diligence for corporate transactions
Supervise and mentor junior attorneys and professional staff

Required

Excellent academic credentials and a demonstrated record of transactional excellence
Strong analytical, drafting, and negotiation skills
Excellent organizational and written communication abilities
Ability to work both independently and collaboratively in a team-based environment
Sound business judgment and effective problem-solving capabilities

Preferred

Prior experience with AmLaw 100 law firms preferred
Familiarity with NVCA, seriesseed.com, and Y Combinator forms
